Terms of Service

By accessing or using Steady ("the Service"), operated by Verge Labs ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

We may update these terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Your continued use of the Service after changes constitutes acceptance.

Steady is a productivity and self-regulation platform that helps users manage tasks, projects, time, and personal wellbeing. The Service includes AI-assisted features (Guardian chat, task analysis, planning suggestions), calendar management, and integrations with third-party services.

Steady is not a medical, therapeutic, or clinical tool. Features related to regulation states, emotional awareness, and wellbeing are designed as productivity aids and self-awareness tools. They are not substitutes for professional medical advice, diagnosis, or treatment. Always seek the advice of qualified health providers with questions regarding a medical condition.

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must be at least 16 years old to use the Service.

You may authenticate via email/password or third-party OAuth providers (Google). When using third-party authentication, you authorize us to access certain account information as described in our Privacy Policy.

You retain full ownership of all content you create in the Service (tasks, projects, notes, journal entries, etc.). By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

You may export all your data at any time. Upon account deletion, your content is permanently removed within 30 days.

The Service includes AI-powered features that generate suggestions, analysis, and responses. These features are provided for informational and productivity purposes only.

• AI-generated content may be inaccurate, incomplete, or inappropriate
• You are responsible for reviewing and validating AI suggestions before acting on them
• AI features do not constitute professional advice of any kind (medical, legal, financial, or otherwise)
• We are not liable for decisions made based on AI-generated content

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Reverse-engineer, decompile, or attempt to extract source code
• Use the Service to harm, harass, or discriminate against others
• Use automated scripts, bots, or scrapers to access the Service
• Resell, redistribute, or sublicense the Service without authorization

Steady may offer free and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as specified in our refund policy.

We reserve the right to modify pricing with 30 days notice. Price changes do not affect active subscription periods.

EU consumers: Under EU Directive 2011/83/EU, you have a 14-day right of withdrawal from the date of purchase for digital content. By using the Service immediately, you acknowledge and agree that you waive this right once the digital content has been fully provided.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

We expressly disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

IN NO EVENT SHALL VERGE LABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the Service
• Any conduct or content of any third party on the Service
• AI-generated content, suggestions, or recommendations
• Unauthorized access, use, or alteration of your data
• Any decisions made based on information provided by the Service
• Service interruptions, delays, or performance issues
• Loss of data or corruption of stored content

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED EUROS (EUR 100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential or incidental damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Verge Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Your content uploaded to or created through the Service

Steady includes features related to emotional regulation, stress awareness, and personal wellbeing. These features are productivity tools, not clinical instruments.

• Regulation scores are self-reported and not medically validated
• The Guardian AI companion is not a therapist, counselor, or medical professional
• Suggestions about rest, pacing, or emotional state are general guidance, not medical advice
• If you are in crisis, contact a mental health professional or emergency services

We disclaim all liability for harm arising from reliance on wellbeing-related features of the Service. Use of these features is at your own discretion and risk.

The Service may integrate with third-party services (Google Calendar, AI providers, etc.). These integrations are provided for convenience. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

We may suspend or terminate your account at any time for violation of these Terms or for any reason with 30 days notice. You may delete your account at any time from Settings. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including limitation of liability and indemnification) will survive.

For EU residents: These Terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the competent courts of Amsterdam, the Netherlands, without prejudice to your right to bring proceedings before the courts of your place of domicile. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

For US residents: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA). YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

For all other jurisdictions: These Terms are governed by the laws of the Netherlands. Disputes shall be submitted to the competent courts of Amsterdam.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
